This is a model agreement for services between a client and an independent contractor. You fill in the details between [brackets]. XXXXXX is not a party to this agreement.
This model has not been assessed or approved by the Dutch Tax Authorities and offers no certainty in advance. To assess whether someone works independently, the Tax Authorities look at how you actually work together, not only at the paper. So also really work as stated here. Seek advice if in doubt.
The contractor carries out the following assignment for the client: [description of the assignment and the desired result].
Start date: [date]. Expected duration or end date: [duration or date]. Place of performance: [on site / remote / combination].
The contractor decides for themselves how, when and in what order the assignment is carried out, within the agreed planning. The client gives no instructions about the way of performance, but may set the desired result, the quality requirements and the final delivery dates.
The contractor is not obliged to follow working hours, is not part of the client's organisation and does not work under direction or supervision.
The contractor may be replaced by an equally qualified third party and may engage assistants for the work. The contractor remains responsible for the result. The client may refuse a replacement for a compelling reason, such as lack of required qualifications or a confidentiality risk.
The contractor uses their own tools and resources, unless expressly agreed otherwise: [any exceptions, for example access to the client's systems or premises].
The contractor works at their own expense and risk, may work for other clients and has appropriate liability insurance. The contractor is themselves responsible for taxes, premiums and pension.
The fee is [amount or rate, per hour / per day / fixed amount], excluding VAT. Other costs (such as travel costs and materials) are reimbursed according to: [arrangement].
The contractor invoices [monthly / after delivery]. The client pays within [14 / 30] days of the invoice date. In the event of late payment the client is in default without notice of default.
The fee is an agreement between the parties and does not depend on the Platform.
The parties keep each other's confidential information secret and use it only for this assignment. If the contractor processes personal data on behalf of the client, the parties first conclude a data processing agreement.
Rights to the delivered result pass to the client after full payment, unless agreed otherwise: [arrangement]. The contractor retains rights to existing knowledge, tools and own developed components and grants the client a right of use for them to the extent necessary to use the result.
The contractor is liable for direct damage caused by an attributable failure, up to a maximum of [amount or "the amount paid out by the insurance"]. Liability for indirect damage is excluded. This does not apply in the case of intent or deliberate recklessness.
This agreement ends upon completion of the assignment or on the end date. Early termination is possible with a notice period of [period], in writing or by email. In the case of a serious failure a party can terminate immediately. Work already carried out is paid for.
This agreement is governed by Dutch law. Disputes are submitted to the competent court in [district]. Amendments are only valid if confirmed in writing.
